Transactions

Svensson Nøkleby boasts a strong team of experienced lawyers specialising in transaction processes, including the purchase and sale of companies or enterprises, mergers and demergers, as well as real estate transactions. We provide comprehensive advice and assistance throughout the entire process, from preparation and planning to negotiations, due diligence, drafting of contracts and documents, execution, settlement, and implementation.

Our transaction group lawyers have specialised expertise in both corporate transactions as well as real estate transactions. Corporate transactions encompass the purchase and sale of companies (shares) or businesses, mergers, demergers, and more. These transactions can be driven by factors such as generational change, limited growth opportunities in the existing market, changes in technological or market conditions, or disagreements among owners. Real estate transactions can occur either through the transfer of property or the transfer of shares in a real estate company.

While there are many similarities between corporate and real estate transactions, there are also some differences. A common factor for both is that thorough preparation is crucial for a successful transaction. Our transaction lawyers assist both buyers and sellers throughout the entire process, from strategic planning to execution, as well as with ongoing legal assessments and clarifications. We also support investors, lenders, and merger parties in these processes.

    Our services include:
  • Purchase and sale of companies, including real estate companies
    • The purchase and sale of all types of businesses require meticulous planning and insight, often raising various legal questions alongside technical and economic issues. Naturally, the buyer seeks assurance for their investment, making it crucial to identify factors that could lead to future costs or complications.
  • Due diligence
    • Due diligence, or a company review, is a structured process in which the seller provides documentation and information about the company and/or property to a potential buyer for examination. The purpose of the due diligence process is to identify any unknown risks that should be reflected in the purchase price, otherwise regulated, or potentially indicate that the transaction should not proceed.
  • Financing
    • We offer legal assistance with various forms of financing, including loan agreements, security arrangements, bond issuances, and other financial instruments.
  • Merger
    • A merger involves two or more joint-stock companies combining to form a larger company. The goal of a merger is to create a stronger entity that can achieve better economic results together.

  • Demerger
    • In a demerger, a joint-stock company is divided into two or more companies. The existing company can transfer all its assets to two or more acquiring companies, causing the original company to cease to exist. Alternatively, the existing company can retain some of the assets itself (demerger with capital reduction), while other parts are transferred to one or more other companies.
